Completion of the Sale of Eolica PM to Estra S.p.A.

We are proud to announce that today we complete the closing of the transaction involving the sale of 100% of the share capital of Eolica PM S.r.l., a company owning an operational wind farm located in the municipality of Pontelandolfo (BN), with an installed capacity of 52 MW, to Estra S.p.A., a company of the Plures Group.

The transaction, which was previously disclosed to the market on December 5, is finalized today with an Enterprise Value of €155.9 million. The total consideration for the sale of the shares, amounting to approximately €133.9 million, is fully settled in cash as of today. This amount includes €131.3 million for the purchase of the shares and €2.6 million relating to the acquisition of shareholder loans.

This transaction represents a key milestone in our equity recycling strategy, as outlined in the 2025–2028 Industrial Plan. Through this transaction, we reaffirm our commitment to optimizing capital allocation and unlocking resources to be reinvested in the development of new renewable energy projects.
